16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”), in accordance with its Commercial Arbitration Rules. Arbitration shall take place in Delaware, unless otherwise agreed upon in writing by both parties.
